Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Thunder X Capital, LLC ("we", "us"), operator of 100mexitspodcast.com and the Engage AI chat (collectively, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

PLEASE READ SECTION 13 (BINDING ARBITRATION AND CLASS-ACTION WAIVER) CAREFULLY. It requires US-based users to resolve disputes with us through individual arbitration and waive the right to a jury trial or to participate in a class action.

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at legal@100mexitspodcast.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

Engage is an AI chat powered by Google's Gemini models with retrieval over public podcast transcripts and Jason Kirby's knowledge base. You acknowledge and agree that:

5. Intellectual property

The Services, the 100M Exits Podcast content, the site design, and all related trademarks are owned by us or our licensors and are protected by intellectual-property laws. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

6. Your content

If you submit content to us (guest applications, sponsor inquiries, contact messages, saved responses), you grant us a worldwide, non-exclusive, royalty-free license to host, store, and use that content to operate the Services and communicate with you. You represent that you have all rights needed to submit that content.

7. Third-party services and links

The Services rely on and link to third-party services (see our Subprocessors page). We are not responsible for third-party services and their terms and privacy notices govern your use of them.

8. Newsletter and communications

By signing up for our newsletter you consent to receive emails from us. You can unsubscribe at any time using the link in every email.

9. DMCA / copyright

If you believe your copyright has been infringed on the Services, send a DMCA notice to our designated agent: legal@100mexitspodcast.com (subject: "DMCA"). Include the elements required under 17 U.S.C. § 512(c)(3). We may remove content and terminate repeat infringers.

10. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that Engage outputs are accurate, complete, or suitable for any purpose.

11. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities, arising from or related to the Services. Our aggregate liability for any claim will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) US $100.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

13. Governing law, arbitration, and class-action waiver (US users)

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-laws principles.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in New Jersey (or, at your election, remotely). Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and we agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.

30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@100mexitspodcast.com with the subject "Arbitration opt-out" and your name and email.

Small-claims and injunctive relief. Either party may bring an individual action in small-claims court, and either party may seek injunctive relief in court to protect intellectual-property rights.

14. EU/UK and other non-US users

If you are a consumer in the EU, UK, or another jurisdiction whose mandatory local law grants you rights that cannot be limited by contract (including venue and consumer-protection rights), those rights are not affected by Section 13, and you may bring proceedings in the courts of your place of residence to the extent required by law.

15. Termination

You may stop using the Services at any time and delete your account by emailing us. We may suspend or terminate your access for any reason, including violation of these Terms.

16. Changes

We may update these Terms. Material changes take effect when posted; we will provide notice for significant changes. Your continued use of the Services after changes take effect means you accept the new Terms.
